Terms of Use

These Terms of Use ("Terms") apply to the use of the Rinkadia Oy website and related services (collectively, the "Service"). The Service is operated by Rinkadia Oy, Business ID 3637270-3 ("Rinkadia").

These Terms constitute a binding agreement regarding the Service between you and Rinkadia.

By registering as a user of the Service or any of its features, or otherwise accessing or using the Service, you confirm that you have read, understood, and accepted these Terms.

1. Definitions

Service means the website operated by Rinkadia Oy that functions as a platform facilitating cooperation between players, agents, coaches, and sports clubs.

Player means a natural person who creates a profile in the Service in the role of a player.

Coach means a natural person who creates a profile in the Service in the role of a coach.

Agent means a user registered in the Service who represents a player or coach in professional and commercial matters.

Verified Club means a sports club registered in the Service. Verification only means that the organization has been identified according to Rinkadia's verification procedures in effect from time to time and does not guarantee the organization's financial standing, reliability, or operating practices.

Founding Club means a Verified Club accepted by Rinkadia into the Founding Club programme and granted access to Founding pricing and related benefits specified by Rinkadia.

User means a Player, Coach, Agent, or Verified Club using the Service.

User Content means any information, materials, messages, communications, files, images, text, or other content submitted, transmitted, or made available by a User through the Service.

Representation Relationship means a relationship established through the Service whereby a Player or Coach authorizes a specific Agent to act as the Player's or Coach's representative within the functionalities provided by the Service.

Represented User means a Player or Coach who has entered into a Representation Relationship with an Agent through the Service.

2. Purpose of the Service

The purpose of the Service is to act as an electronic platform that enables communication and cooperation between Users.

Rinkadia is not an employer, staffing company, recruitment agency, or party to any employment agreement.

Rinkadia is not responsible for negotiations, agreements, employment relationships, or other legal relationships between Users.

The Service may also enable Players , Coaches and Agents to establish and manage Representation Relationships through the Service.

3. Right to Use the Service

Use of the Service or its features requires the creation of a user account. User accounts are personal and non-transferable.

When using the Service, the User represents and warrants that:

  • they provide accurate, current, and complete information;

  • they have the right to use and submit the information provided;

  • they keep their username and password confidential and do not disclose them to any

third party.

Rinkadia has the right to request documents verifying a User's identity or authority to act on behalf of an organization.

An Agent is responsible for ensuring that they possess the necessary rights and authorizations to represent the Represented Users they identify in the Service.

Rinkadia may suspend or terminate access to the Service if there is a justified reason to doubt the accuracy of the information provided.

The User is solely responsible for all activities conducted through their account. The User is also responsible for all payment transactions and other commitments made through the Service.

Use of the Service requires that a natural person is at least 18 years of age.

The User is responsible for ensuring that their activities within the Service comply, where applicable, with the rules of relevant sports governing bodies and organizations.

4. Prohibited Activities

The User may not:

  • use the Service unlawfully, fraudulently, or for any illegal purpose;

  • use the Service or any of its features in a manner that materially violates these Terms;

  • publish offensive, discriminatory, or misleading content;

  • collect user information automatically without permission;

  • attempt to breach, disrupt, or interfere with the operation of the Service;

  • use bots, scrapers, crawlers, or other automated systems without prior written

permission;

  • impersonate another person or organization;

  • use the messaging functionality of the Service to send unlawful, harassing,

threatening, fraudulent, spam, unsolicited, or otherwise inappropriate communications.

Rinkadia has the right to remove such content and, where necessary, suspend the Service or restrict access to the Service or any part thereof.

5. User Content

The User retains ownership of the content they publish through the Service.

By publishing content through the Service, the User grants Rinkadia the right to use, store, display, transmit, and otherwise utilize such content for the purpose of providing the Service.

The User is responsible for ensuring that they have the right to publish any personal data and other information submitted to the Service.

Communications and messages exchanged through the Service constitute User Content for the purposes of these Terms.

The User is solely responsible for all User Content submitted, published, transmitted, or otherwise made available through the Service and for ensuring that such content is accurate, lawful, and does not infringe the rights of any third party.

The User represents and warrants that User Content does not contain unlawful, defamatory, misleading, or otherwise inappropriate information and does not violate any person's privacy, reputation, intellectual property rights, or other legal rights.

6. User Communications

The Service may include functionality that enables Users to communicate and exchange messages, files, and other information with one another.

The User is solely responsible for the content of any communications sent through the Service and for ensuring that such communications comply with these Terms and applicable law.

Rinkadia does not routinely review or monitor communications between Users. However, Rinkadia may access, review, preserve, or disclose communications where reasonably necessary to:

  • provide, maintain, or secure the Service;

  • investigate suspected misuse, fraud, unlawful activity, or violations of these Terms;

  • provide customer support or resolve technical issues;

  • comply with legal obligations, court orders, or requests from competent authorities;

or

  • protect the rights, property, or safety of Rinkadia, its Users, or third parties.

Rinkadia has no obligation to monitor communications between Users and assumes no responsibility for the accuracy, completeness, legality, or appropriateness of any communication sent through the Service.

Users acknowledge and agree that communications transmitted through the Service may be processed and stored in accordance with Rinkadia's Privacy Policy.

7. Representation Relationships

A Representation Relationship is established only when a Represented User accepts an invitation sent by an Agent through the Service.

Representation is personal to the specific Agent accepted by the Represented User and does not automatically extend to the Agent's agency, employer, colleagues, or any other person.

The Represented User retains ownership and control of their profile, personal data, and content at all times.

The Agent may perform only those actions expressly permitted by the functionalities of the Service and authorized by the Represented User through the Representation Relationship.

Such actions may include receiving club contact requests directed through the Service, updating the Represented User's availability status, adding representation-related notes, and managing club visibility restrictions through the functionalities provided by the Service.

The Agent may not modify the Represented User's profile information, career history, statistics, documents, photographs, social media links, or other content unless expressly permitted by the Service.

The Represented User may terminate a Representation Relationship at any time through the Service.

Information relating to the establishment and termination of a Representation Relationship may be retained in accordance with the Privacy Policy.

8. Intellectual Property Rights

The Service and its content are protected by intellectual property rights owned by Rinkadia, its affiliates, and/or third parties.

Unauthorized copying, distribution, or other use of the Service or its content is prohibited unless expressly permitted under these Terms.

Without Rinkadia's prior written consent, the User may not:

  • copy or use the Service or any materials contained therein for purposes other than

those permitted under these Terms;

  • sell, distribute, transfer, or otherwise make the Service or its materials available to

any third party;

  • create derivative works based on the Service or its materials;

  • use the Service or its materials for any commercial purpose other than the ordinary

intended use of the Service; or

  • permit any third party to engage in any of the foregoing activities.

9. Fees and Billing

The prices of paid features, subscriptions, service packages, and other paid services available through the Service are displayed within the Service. All prices are exclusive of applicable value added tax (VAT) unless expressly stated otherwise.

Rinkadia reserves the right to change prices by providing reasonable prior notice.

A Verified Club is responsible for all fees relating to subscriptions, paid features, and services purchased through the Service.

Payments made are non-refundable unless otherwise expressly agreed by Rinkadia.

Club subscriptions may be offered either as:

(a) a fixed-term subscription, including an annual subscription; or

(b) a month-to-month subscription without a minimum commitment period.

A Verified Club may cancel a subscription at any time.

For month-to-month subscriptions, cancellation takes effect at the end of the current billing period.

For fixed-term subscriptions, including annual subscriptions, cancellation takes effect at the end of the agreed subscription term. A fixed-term subscription remains binding for the entire

agreed term regardless of whether it is paid in a single payment, by recurring monthly card payments, or by invoice in one or more instalments.

Termination, cancellation, suspension, or closure of a user account does not release a Verified Club from its obligation to pay any fees due for the remainder of an agreed fixed subscription term.

Where a Verified Club has entered into an annual subscription or other fixed -term subscription, the Verified Club remains liable for all fees relating to the agreed subscription period. Early termination does not entitle the Verified Club to a refund and does not release the Verified Club from the obligation to pay the remaining fees relating to that subscription period.

Termination or cancellation does not affect payment obligations that arose before the effective termination date.

Club Pro subscriptions may be paid by credit or debit card or, where offered by Rinkadia, by invoice. Invoices are payable within fourteen (14) days from the invoice date unless otherwise agreed.

If an invoice remains unpaid for fourteen (14) days after its due date and a payment reminder has been sent, Rinkadia may suspend the Club Pro subscription and downgrade the Verified Club to the Free service level until all overdue amounts have been paid.

Rinkadia may restore a suspended subscription once all overdue amounts have been received.

Profiles previously unlocked by a Verified Club remain accessible after a downgrade to the Free service level. Access to a previously unlocked profile remains available for as long as the relevant profile exists in the Service.

Profile unlocks included in the Free service level are subject to the limits, allowances, and usage rules displayed in the Service and applicable pricing information. Unless otherwise stated in the Service or applicable pricing information, unused profile unlocks included in the Free service level do not carry forward to subsequent periods.

Where a Club Pro subscription ends or is suspended, profiles saved to the Club's watchlist may remain stored. However, where the number of saved profiles exceeds the watchlist limit applicable to the Free service level, the Club may be unable to add new pr ofiles to the watchlist or otherwise manage saved profiles until the number of saved profiles falls within the applicable limit.

Founding Club Pro pricing is available only to Founding Clubs designated by Rinkadia.

A Founding Club retains the applicable Founding monthly price for as long as its subscription remains active.

Founding pricing is not lost solely because a subscription has been suspended due to non-payment. However, if a suspension continues for more than ninety (90) consecutive days,

the subscription shall be deemed terminated and eligibility for Founding pricing shall be permanently lost.

If a Founding Club cancels its subscription, eligibility for Founding pricing is permanently lost and any future subscription will be charged according to the pricing in effect at the time of the new subscription.

Founding pricing applies only to the Club Pro service package as offered at the time the Founding subscription was originally purchased. Founding pricing does not apply to higher- tier service packages, additional services, or new service offerings introduced thereafter.

Rinkadia may also grant separate promotional, beta, launch partner, or similar benefits to selected Verified Clubs. Such benefits are independent of Founding pricing and may be subject to separate terms, periods, eligibility requirements, and limitations communicated by Rinkadia.

Rinkadia may suspend or restrict access to paid features or services where payment has not been received by the applicable due date.

Rinkadia reserves the right to modify, discontinue, replace, or update subscriptions, service packages, paid features, or services. Where such changes materially affect a Verified Club, Rinkadia will seek to provide reasonable prior notice.

10. Privacy

Personal data is processed in accordance with Rinkadia's separate Privacy Policy.

Users should review the Privacy Policy before using the Service.

11. Service Availability

Rinkadia aims to keep the Service available without interruption.

However, Rinkadia does not guarantee that:

  • the Service will operate without errors;

  • the Service will be continuously available;

  • use of the Service will result in any contractual relationship being formed between

Users; or

  • information provided by Users is accurate or complete.

Rinkadia may suspend the Service for maintenance, updates, or other necessary measures.

Where reasonably possible, Rinkadia will provide advance notice of service interruptions.

12. Limitation of Liability

Rinkadia acts solely as a technical platform between Users.

Accordingly, Rinkadia is not responsible for:

  • the accuracy of information provided by Users;

  • the actions or conduct of Users;

  • the formation or termination of contractual relationships between Users; or

  • disputes between Users.

Rinkadia is not responsible for decisions made by Users or third parties on the basis of information made available through the Service, including decisions relating to recruitment, representation, employment, contracting, player selection, coaching appointments, or other professional opportunities.

Rinkadia is not responsible for claims arising from User Content published, transmitted, or otherwise made available through the Service by Users. Each User is solely responsible for the legality, accuracy, completeness, and appropriateness of the User Content they submit to the Service.

Rinkadia shall not be liable for any damages arising from the use of, or inability to use, the Service, including but not limited to indirect or consequential damages such as loss of profits, revenue, business opportunities, or data.

Rinkadia shall also not be liable for damages caused by force majeure events or other circumstances that unreasonably hinder Rinkadia's operations. Rinkadia is not responsible for damages resulting from the loss of information stored in the Service or interruptions in the use of the Service.

The above limitations of liability shall not apply to the extent that liability cannot be excluded or limited under mandatory applicable law.

13. Indemnification

The User agrees to indemnify, defend, and hold harmless Rinkadia from and against any claims, damages, losses, liabilities, and expenses arising from the User's breach of these Terms or applicable law.

14. Termination and Account Closure

The User may stop using the Service at any time.

Rinkadia has the right to immediately close a User account or restrict access to the Service if:

  • the User breaches these Terms;

  • the User acts unlawfully; or

  • the User's actions endanger the security of the Service or the rights of other Users.

Repeated misuse of the communication or messaging functionality of the Service may result in suspension or termination of the User's account.

The User has the right to request reasons for the closure of their account unless such disclosure is prohibited by law or prevented by security considerations. Such requests may be submitted to hello@rinkadia.com.

15. Changes to the Terms

Rinkadia reserves the right to amend these Terms by providing advance notice of the changes.

Continued use of the Service after such changes have taken effect constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Finland, excluding its conflict of law provisions.

Any disputes shall first be resolved through negotiations between the parties.

If a dispute cannot be resolved through negotiations, it shall be settled by the Pirkanmaa District Court, Finland.
